Canon Penetration Testing Offer

Terms and Conditions

1. OFFER ELIGIBILITY:
a. The Canon Penetration Testing Offer (the “Offer”) is available to new and existing customers of Canon Canada Inc. (“Canon”) who purchase a penetration test (“Pen Test”).

2. AGREEMENT TO BE LEGALLY BOUND BY TERMS:
a. By participating in this Offer, you are signifying your agreement that you have read and agree to be legally bound by these Terms.

3. OFFER PERIOD:
a. The Offer begins on begins on August 25, 2026 and ends on December 31, 2026 (the “Offer Period”).
b. Canon reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Offer mechanics stipulated in these Terms, to the extent necessary, for purposes of verifying any participant, Qualifying Purchase (as defined herein), Qualifying Service (as defined herein), and/or other information with these Terms, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of Canon, in its sole and absolute discretion, affect the proper administration of the Offer as contemplated in these Terms, or for any other reason.

4. QUALIFYING SERVICE AND PURCHASE:
a. For the purposes of this Offer, an eligible participant must purchase a Pen Test with minimum value of $5,000.00 (a “Qualifying Service”) from Canon and receive a report (a “Qualifying Purchase”).

5. HOW TO PARTICIPATE:
a. If an eligible participant has completed a Qualifying Purchase in accordance with these Terms during the Offer Period, then the customer will be eligible to receive a credit of $2,500.00 towards select Remediation Services (as defined herein) offered by Canon (a “Credit”), subject to compliance with these Terms.
b. The Credit must be used within 180 days of the completion of the Qualifying Purchase.
c. Only one Credit per organization is allowed during the Offer Period.
d. The Credit applies to a maximum of one (1) Remediation Service or transaction.
e. The Credit must be accepted as awarded and are not transferable, assignable or convertible to cash. No substitutions. Canon reserves the right, in its sole and absolute discretion, to substitute any Credit with a reward of equal or greater retail value, including, without limitation, but at Canon’s sole and absolute discretion, a cash award.

6. REMEDIATION SERVICES
a. The Credit may be used for the provision of the following services (“Remediation Services”):
• vCISO - Hourly - Minimum 10 hour blocks
• vCISO - Audit Backup Process and Retention, and Backup/Restore Testing
• vCISO - Incident Response Plan Review
• vCISO - IT Security Policy Review
• vCISO - Disaster Recover Planning
• vCISO - Monthly Rate
• vCISO - Hourly Rate - Minimum 10 Hours if selling standalone.
• vCISO - Baseline Security Assessment - Max client size: 500 employees. Use vCISO hourly SKU for larger clients

7. RELEASE OF LIABILITY
a. By participating in this Offer, each eligible participant hereby: (i) confirms compliance with these Terms; (ii) releases Canon and its directors, officers, employees, agents, partners and other representatives (the “Released Parties”) from any and all liability in connection with this Offer and its participation therein including, but not limited to, the awarding and use/misuse of the Credit or any portion thereof; and (iii) agrees to the publication, reproduction and/or other use of his/her name, statements about the Offer and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of Canon in any manner whatsoever, including print, broadcast or the Internet.

8. GENERAL CONDITIONS:
a. All submitted materials become the property of Canon. This Offer is subject to all applicable federal, provincial and municipal laws. The decisions of Canon with respect to all aspects of this Offer are final and binding on all entrants without right of appeal. ANYONE DETERMINED TO BE IN VIOLATION OF THE LETTER AND/OR SPIRIT OF THESE TERMS FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF CANON AT ANY TIME.
b. The Released Parties will not be liable for: (i) any failure of the Canon Website or any other site during the Offer; (ii) any malfunctions or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an eligible participant’s or any other person’s computer or other device related to or resulting from participating in the Offer; and/or (v) any combination of the above.
c. Canon reserves the right, in its sole and absolute discretion, to amend or suspend this Offer (or to amend these Terms) in any way, in the event of any cause beyond the reasonable control of Canon that interferes with the proper conduct of this Offer as contemplated by these Terms, including, without limitation, any error, problem, computer virus, bug, tampering, unauthorized intervention, fraud or failure. Any attempt to undermine the legitimate operation of this Offer in any way (as determined by Canon in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, Canon reserves the right to seek remedies and damages to the fullest extent permitted by law. Canon reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Offer, or to amend these Terms, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.
d. By participating in this Offer, each eligible participant expressly consents to Canon, its agents and/or representatives, storing, sharing and using any personal and other information submitted only for the purpose of administering the Offer and in accordance with Canon’s privacy policy (available at https://www.canon.ca/en/privacy). This section does not limit any other consent(s) that an individual may provide Canon or others in relation to the collection, use and/or disclosure of their personal information.
e. In the event of any discrepancy or inconsistency between the terms and conditions of these English Terms and disclosures or other statements contained in any Offer-related materials, including, but not limited to: the Canon Website, French version of these Terms, point of sale, television, print or online advertising, any instructions or interpretations of these Terms given by an employee or other representative of Canon; the terms and conditions of these English Terms shall prevail, govern and control to the fullest extent permitted by law.
f. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms or the rights and obligations of participants, Canon or any of the other the Released Parties in connection with the Offer will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Terms or relating to this Offer.
g. The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.
